Approval of dual listing in Iceland

Reference is made to the stock exchange announcement by Ice Fish Farm AS(the "Company") on 14 May 2024 regarding the Company's intention to dual list its shares on Nasdaq First North Iceland ("Nasdaq Iceland").

Ice Fish Farm announces intention to dual list its shares on Nasdaq First North Iceland

As announcedin the Q3 presentation on 16 November 2023, Ice Fish Farm AS (”Ice Fish Farm”or the ”Company”) has been looking into thepossibility of having its shares dual listed in Iceland. Today, Ice Fish Farm ispleased to announce its intention to carry out a listing of the Company’sshares on Nasdaq First North Iceland (the “Dual Listing”), which will be inaddition to the existing listing on Euronext Growth Oslo.

The DualListing is expected to be approved on the same date as the Company's plannedcapital markets day, 28 May 2024 and first day of trading is expected to be 29May 2024.

The DualListing is subject to publication of a Company description by the Company,approval by Nasdaq Iceland of a listing application as well as fulfillment ofother customary listing conditions.

No offeringof shares will be carried out in connection with the Dual Listing, and thecontemplated Dual Listing will not have any impact on the total number ofshares outstanding in the Company.

The DualListing will enable shareholders of Ice Fish Farm to hold their shares inIcelandic financial instruments (the “Affiliated Shares“), with the same ISINnumber and characteristics as the existing shares in Ice Fish Farm.

Initial Audit for ASC

We are excited to announce that an Initial ASC audit is now ongoing at our company Ice Fish Farm.
The Aquaculture Stewardship Council (ASC) promotes certifying responsible aquaculture practices globally.

The purpose of the initial audit is to assess our company practices to ensure good quality, environmental and social sustainability, and responsible aquaculture practices.

Timeline:

The initial audit will take place from the 2nd of April to the 10th of April. During this time, auditors will be on-site to evaluate the company.

  • Svarthamarsvík in Berufjörður.

Ice Fish Farm appoints Roy Tore Rikardsen as new CEO

Frøya, 18February 2024

 

The board of directors(the "Board") of Ice Fish Farm AS (the "Company") has todaydecided to appoint Roy Tore Rikardsen as new CEO of the Company. Rikardsen hasextensive operational and management experience from the salmon farmingindustry. He has worked within the industry for 20+ years and has firsthandknowledge about salmon farming operations in cold waters from North of Norwayand Canada.

Ice Fish Farm AS ("IFF" or the "Company")is pleased to announce that it has reached an agreement with DNB Bank ASA,Nordea Bank Abp, filial i Norge, Arion Banki hf and Landsbankinn hf for a long-termbank financing package of up to EUR 156.2 million (the "New Financing").The New Financing includes i) a EUR 60 million term loan facility for the refinancingof certain existing indebtedness of the group, ii) a EUR 20 million capex facilityfor financing of new equipment, upgrades to facilities, investments in barges,vessels and other assets, iii) an up to EUR 70 million revolving creditfacility to refinance current biomass financing and for general corporate andworking capital purposes and iv) an up to EUR 6.2 million term loan facilityfor refinancing of certain other existing indebtedness of the group and forfinancing of new equipment. The borrowing base limitations for the revolvingcredit facility will be based on value of insured biomass and eligible accountreceivables. In addition to the New Financing, the Company has an optionality todraw on a short-term bridge facility of EUR 10 million. The initial drawdown onthe New Financing is expected within Q1 2023 and remain subject to documentation and customaryconditions precedent.

Further,it is a condition for the New Financing that the Company raises a grosscash amount of approx. EUR 45 million in new equity, in addition to aconversion of the currently outstanding shareholder loans of approx. EUR 25 million(together the "Share Issue"). The Company has strongindications of support from the majority shareholder, Måsøval Eiendom AS, andthe other main shareholders, Egghjavita ehf. and Krossey, in relation to theShare Issue. For this purpose, the Company has appointed DNB Markets, a part ofDNB Bank ASA, as Sole Global Coordinator and Joint Bookrunner and Arion Bankihf and Nordea Bank Abp, filial i Norge, as Joint Bookrunners. Furtherinformation on the Share Issue, including the timeline, structure and detailedterms, will be published in due course. In order to facilitate the Share Issue,the Company expects to shortly call for a shareholders' meeting to request anauthorization for the board of directors to issue shares.

ICE FISH FARM AS : Q2 2022 Results

ICE FISH FARM AS (IFISH) reports operating EBIT before adjusted for biomass write-down NOK 18.1 million for the second quarter of 2022and EBIT per kg of NOK 16,2. Corresponding figures for the same quarter last year were NOK 69 million and NOK 13,9.  Sales where manly on the spot market in Q2, that gave good price for relatively small size fish.

Harvested volume in Q2 2022 increased slightly and reach1,117 tonnes compared to 1,090 tonnes in Q2 2021.

Ice Fish Farm AS (IFF) acquired all shares in Laxar Fiskeldi hf in Q2.

Ice Fish Farm AS – Notice of EGM to approve issuance of shares to Laxar shareholders

An extraordinary general meeting of Ice Fish Farm AS (the "Company" or "Ice") will be held on 30 May 2022 at 11:00 hours CEST, at the Company's offices on Frøya.

Please find the notice attached. Reference is made to the stock exchange notices published by the Company on 13 December 2021 and 22 April 2022 regarding the agreement between the majority shareholders of the Company and Laxar Fiskeldi ehf ("Laxar") to vote in favour of a combination of Laxar and Ice, by way of Ice assuming ownership of Laxar and its subsidiaries, with the consideration to be paid in newly issued Ice shares, subject to the approval by the board of directors and the shareholders (the "Combination"). Closing of the share purchase agreement to effect the Combination is scheduled to occur on 30 May 2022 and an EGM is therefore called to approve the issuance of the 37,525,424 new consideration shares to the shareholders of Laxar, which will increase the total numbers of shares outstanding in the Company to 91,525,424.

Board approval of share purchase agreement for acquisition of Laxar

Reference is made to the stock exchange notice published by Ice Fish Farm AS (the "Company" or “Ice”) on 13 December 2021 regarding the agreement between the majority shareholders of the Company and Laxar Fiskeldi ehf ("Laxar") to vote in favour of a combination of Laxar and Ice, by way of Ice assuming ownership of Laxar and its subsidiaries, with the consideration to be paid in newly issued Ice shares, subject to the approval by the board of directors and the shareholders (the "Combination").

The board of directors' of the Company have today approved the draft share purchase agreement to effect the Combination and closing of the transaction is expected to occur by end of Q22022. In connection with closing, the Company will call for an EGM to approve the issuance of the 37,525,424 new consideration shares to the shareholders of Laxar, which will increase the total numbers of shares outstanding in the Company to 91,525,424.

Q2 2021 results ICE FISH FARM AS

Revenues increase due to higher volume of salmon harvested in Q2 2021 compared to the same quarter in 2020, 1.090 tons (340 tons).

EBIT per kg was NOK 13.5 for the quarter.

Operating income amounted to NOK 68.9 million (NOK 33.8 million), while the operating profit before fair value adjustment of biomass was around NOK 14.8 million (NOK 4.7million).

Kópasker Smolt Station in Operation

Ice Fish Farm has 99,8% ownership in Rifós. Rifós is building new Post Smolt Station in North of Iceland. Location is Kópasker, this location has unique under ground 13 degrees hot water that has full salinity. This strategic location will have enormous opportunity to grow big salmons on land to shorten time for growth in sea. Project had a millstone last week when first tank was filled and tested with salmons.

TodayICE FISH FARM AS 100% owner of FISKELDI AUSTFJARDA HF received today an updateon its licenses in Berufjörður and Fáskrúðsfjörður. Total license of fertile inthe two fjords is now 18,5th tons and sterile 2,3th tons, or in aggregate of20,8th tons as before. Updated alsoincludes bigger and better farming areas and maximum biomass allowance.The update allows ICE FISH FARM to produce 6.500 tons more of fertile fish,i.e. 1.500 tons in Berufjörður and 5.000 tons in Fáskrúðsfjörður. This is inaccordance with the new risk assessment issued by the Marine Institute in 2020.

License update

ICE FISH FARM AS - License update

Today ICE FISH FARM AS 100% owner of FISKELDI AUSTFJARDA HF received a draft for an update on its licenses in Berufjörður and Fáskrúðsfjörður. The update includes a change in production in the way that after it takes effect then ICE FISH FARM will be authorized to produce 6.500 tons more of fertile fish, i.e. 1.500th in Berufjörður and 5.000 tons in Fáskrúðsfjörður. This is due to new risk assessment issued by the Marine Institute in 2020. Total license of fertile will after the update be 18,5th tons and sterile 2,3th tons, or in aggregate of 20,8th ton license as before. This was advertised by MAST and UST and license is expected to be issued within 4 weeks after a 30 days advertising period.

Eldisstöðni Röndinn Kópaskeri - Matsáætlun

Rifós hf. hefur uppi áform um byggingu laxeldisstöðvar á Röndinni á Kópaskeri. Til stendur að reisa fjóra kerjapalla og áformar Rifós að ársframleiðsla hvers palls verði um 1.600 tonn laxaseiða. Öllum er frjálst að gera athugasemdir við þessi drög að tillögu að matsáætlun. Athugasemdarfrestur er frá 21. janúar til og með 4. febrúar 2021.

Rifós hf. owned 99,5% by ICE FISH FARM is advertising environmental assessment for 1.600 production of salmon on land. Advertising period is from 21. january to 4. february 2021.
